1. About these Terms

These Terms of Service (the “Terms”) govern your access to and use of the QoRe website at qorepay.app (the “Website”) and the QoRe service (the “Service”), provided by Amity and Co L.L.C-FZ, a free zone company licensed in Dubai, United Arab Emirates under Licence No. 2532998.01. By accessing the Website, requesting a pilot, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Website or the Service.

Acceptance given by electronic means is valid and binding under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

3. Eligibility and authority

The Service is intended for businesses. By using it you represent that you are at least 18 years old, that the business you represent is lawfully established and (where required) licensed to operate in its jurisdiction, and that you have authority to bind that business to these Terms. You are responsible for the accuracy of the information you provide and for keeping it up to date.

4. The Service

QoRe is a technology platform that enables Merchants to request and collect card payments on delivery — by displaying a QR code on a phone or by sending a payment link (including over messaging applications such as WhatsApp). Payers complete payment through a web page using methods such as Apple Pay, Google Pay, and card.

QoRe is not a bank, and is not itself a licensed payment institution or acquirer. We do not hold, receive, or control your funds or your Payers’ funds at any time, and we are not a party to the flow of funds. To use the Service, you connect your own PSP account (for example, your own Stripe account) as a Connected Account. Card transactions are processed by the PSP, and your funds are settled by the PSP directly to your Connected Account, subject to the PSP’s terms, timelines, and controls. The PSP is regulated, as applicable, by the relevant authority in its jurisdiction. Your use of payment processing is governed by a separate agreement you enter into directly with the PSP, and you are responsible for complying with it.

Features, availability, and pricing may change, particularly during the Pilot period. We will give reasonable notice of material changes.

5. Free pilot

We may offer a 30-day Pilot free of charge, subject to availability and to onboarding checks. The Pilot includes setup assistance and onboarding as described on the Website. You may cancel the Pilot at any time. We may end or suspend a Pilot for any account in cases of misuse, abuse, suspected fraud, or breach of these Terms. After the Pilot, continued use is subject to the fees in Section 6, which we will communicate to you in advance.

6. Fees and taxes

Following the Pilot, the Service is offered for a transaction fee of approximately 1% per payment, or such other fee as we agree with you in writing before it applies. Our fee is collected as a platform/application fee through the PSP on transactions processed through your Connected Account, and is deducted before the balance is settled to you. There is no setup fee and no long-term commitment unless separately agreed. PSP charges may apply to transactions in addition to our fee and are governed by the PSP’s terms. All fees are exclusive of value added tax (VAT) and any other applicable taxes, which will be added where required by law (currently at the standard rate of 5% in the UAE). You are responsible for your own tax obligations arising from your use of the Service.

7. Settlement, refunds, and chargebacks

Funds from Payer transactions are processed and settled by the PSP directly to your Connected Account, subject to the PSP’s settlement timelines and controls. QoRe does not hold, receive, or control those funds at any stage. As the Merchant, you are solely responsible for the underlying sale, for fulfilling orders, and for handling refunds, returns, cancellations, chargebacks, and customer disputes in accordance with applicable law, including UAE Federal Decree-Law No. 15 of 2020 on Consumer Protection, and with the PSP’s rules. We are not a party to the contract between you and your Payers, and any refund or chargeback is settled from your Connected Account.

You must not use the Website or the Service to transmit unlawful, infringing, or harmful content, to introduce malicious code, to circumvent security or usage limits, to misrepresent your identity, or to facilitate money laundering, sanctions evasion, or any other unlawful activity. We may investigate and take appropriate action, including suspension or termination, for any suspected breach.

10. Data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Where we process personal data relating to your Payers on your behalf, you are the controller and we act as your processor in accordance with applicable data protection law, including UAE Federal Decree-Law No. 45 of 2021 (the PDPL). A data processing addendum is available on request. You are responsible for providing your Payers with any required notices and for having a lawful basis for the processing you instruct.

11. Intellectual property

The Website, the Service, and all related software, content, trademarks, and branding (including the QoRe name and logo) are owned by or licensed to Amity and Co L.L.C-FZ and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during the term. You may not copy, modify, distribute, or create derivative works except as expressly permitted.

The Service relies on third parties, including PSPs, hosting providers, and messaging platforms. Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions, availability, or content.

13. Service availability and disclaimer of warranties

We aim to keep the Service available and reliable but do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by law, the Website and the Service are provided on an “as is” and “as available” basis, and we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, business, or data, arising out of or related to your use of (or inability to use) the Website or the Service. Our total aggregate liability arising out of or in connection with these Terms will not exceed the greater of (a) the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) AED 5,000. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of the United Arab Emirates, including liability for fraud or wilful misconduct.

15. Indemnity

You agree to indemnify and hold harmless Amity and Co L.L.C-FZ and its officers, employees, and agents from and against any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your violation of any law, or any dispute between you and a Payer or third party.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, where we reasonably believe you have breached these Terms or applicable law, where required by a PSP, regulator, or court, or to protect the Service, our users, or third parties. On termination, the rights granted to you will cease, and provisions that by their nature should survive (including Sections 6, 7, 8, 10, 11, 13, 14, 15, and 20) will continue to apply.

17. Confidentiality

Each party may receive non-public information from the other. The receiving party will use such information only to perform its obligations and exercise its rights under these Terms, and will protect it using reasonable safeguards, except where disclosure is required by law or competent authority.

18. Changes to these Terms and the Service

We may update these Terms or the Service from time to time. The “Last updated” date indicates when the Terms were last revised. We will give reasonable notice of material changes through the Website or by other appropriate means. Your continued use after an update constitutes acceptance of the revised Terms.

19. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, outages, failures of telecommunications or third-party providers, governmental action, or other force majeure events.

20. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the competent courts of Dubai in respect of any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer rights.

22. General

These Terms, together with the Privacy Policy and any written agreement we enter into with you, constitute the entire agreement between us regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or successor. Nothing in these Terms creates a partnership, agency, or employment relationship between the parties.
